CXO Salary in India 2026: CEO Pay, Pay Mix and ESOPs

The median professional (non-promoter) CEO in India was paid ₹10.5 crore in FY2025-26, and the median CFO ₹4.5 crore, with about a third of CEO pay delivered as stock 1. Among large listed companies that have reported, FY26 CEO packages ranged from about ₹24 crore to about ₹175 crore, driven mostly by commission and stock rather than salary 95. Startup founders usually take modest fixed pay and build wealth through equity 15.

The benchmarks: what Indian CEOs and CXOs are paid

Deloitte India's 2026 executive pay survey put the median pay of professional CEOs at ₹10.5 crore for FY2025-26, up 5%. One-third of CEO pay is delivered through stock awards. The median CFO was paid ₹4.5 crore, and pay for other CXO roles rose between 4% and 10% 1.

At the top of the market the numbers are much higher. Among Nifty 50 companies (excluding public sector firms), the median CEO was paid ₹22.6 crore in FY24, and 22% of CEOs earned more than ₹50 crore. The sector medians were ₹49.8 crore in IT and ₹17 crore in financial services 3.

FY26 CEO pay at India's largest companies

Listed companies must disclose each director's pay and its ratio to the median employee's pay in their annual reports 1222. The FY26 figures reported so far show how much of a top CEO's package is variable.

Pay mix: how much is at risk

Deloitte's 2024 survey found that 57% of a professional CEO's target pay was at risk (variable or long-term), against 47% for promoter CEOs. Long-term incentives made up 25% of target pay for professional CEOs. Share-based incentives were used by 75% of companies, up from 63% in 2020, while the share using classic ESOPs fell from 68% to 49% 2.

For a leadership hire, this means the headline number is mostly conditional. Fixed salary is often a minority of the package at large companies, and the stock component depends on performance and on staying long enough to vest.

Bank leadership: pay shaped by RBI rules

Pay for whole-time directors and CEOs of private sector banks follows RBI guidelines in force since April 2020. At least 50% of pay must be variable, and variable pay is capped at 300% of fixed pay. At least half of variable pay must be in non-cash instruments such as ESOPs, at least 60% of variable pay must be deferred over a minimum of three years, and banks must set out when malus and clawback apply, which can cover the entire variable pay. Guaranteed bonuses are not allowed, except a joining bonus in the first year paid in share-linked instruments 11.

HDFC Bank's incoming MD and CEO shows how this works in practice: target pay of ₹35.9 crore, made up of ₹8.97 crore fixed and ₹26.92 crore variable (300% of fixed), plus a joining bonus of about ₹7.35 crore in share-linked instruments vesting over four years 10. For FY26, the outgoing HDFC Bank CEO was paid ₹28.65 crore, including ₹13.53 crore of stock option benefit; ICICI Bank's CEO about ₹10.6 crore; and Kotak Mahindra Bank's CEO about ₹17.2 crore, also for FY26 10.

Limits and approvals at listed companies

  • Total managerial pay may not exceed 11% of net profit. A single managing or whole-time director is limited to 5%, and several together to 10%, unless shareholders approve more by special resolution. Companies with no or inadequate profits must follow Schedule V 12.
  • Under SEBI's listing rules, a promoter executive director paid more than ₹5 crore, or 2.5% of net profit, whichever is higher, needs a special resolution of shareholders 13.
  • In practice these votes rarely fail: of 893 promoter pay resolutions between January 2023 and September 2024, only 10 were rejected, though 24.5% would have failed if only minority shareholders had voted 14.

Startups and IPO-bound companies

Founder-CEOs of newly listed and IPO-bound startups usually take modest fixed pay. In FY26, Meesho's two founders were paid ₹4.8 crore fixed each; Lenskart's Peyush Bansal ₹5.7 crore fixed plus ₹12 crore in bonus and incentives; and Ather Energy's Tarun Mehta ₹2.1 crore fixed plus ₹0.9 crore variable 15.

The large numbers come from equity. Swiggy's Sriharsha Majety drew ₹1.4 crore in fixed pay in FY26, against ₹549.3 crore in ESOP gains, which are not necessarily cash received 15. Groww paid its co-founders about ₹614.6 crore in one-time performance incentives in FY25, including ₹185.66 crore to CEO Lalit Keshre, a one-off rather than an annual package 16.

For a professional CXO joining a startup, the practical comparison is therefore between cash today and the realistic value of equity at a future liquidity event.

ESOPs: the rules that shape a leadership offer

  • Vesting: unlisted companies must leave at least one year between granting options and vesting them 20.
  • Tax: the gain (fair market value on the exercise date minus the price paid) is taxed as a salary perquisite in the year the shares are allotted 17.
  • Deferral for eligible startups: under section 289(3) of the Income-tax Act, 2025, tax on ESOPs from an eligible startup is payable within 14 days of the earliest of 60 months from the end of the relevant tax year, the sale of the shares, or leaving the company 18.
  • Few startups qualify for that deferral: India had more than 1,59,000 DPIIT-recognised startups but fewer than 4,000 with the certification it requires 19.
  • Founders: SEBI allows founders to keep ESOPs granted at least one year before the company files its draft red herring prospectus 21.

Structuring a CXO offer: what we see work

From the leadership mandates we run, the offers that close and hold up share a few features:

  • Fixed pay set to the company's stage, with the upside in variable pay tied to two or three measurable outcomes the candidate can influence.
  • Equity with a clear vesting schedule, and a realistic explanation of what it could be worth, not just a percentage.
  • A joining bonus or accelerated grant to cover unvested equity the candidate gives up, where that is the real obstacle.
  • Agreement on the notice period and start date early, because senior leaders often have long notice periods and counter-offers.
  • Clawback and good-leaver or bad-leaver terms written down before the offer, not negotiated after.

How we compiled this

We used Deloitte India's executive pay surveys, company figures as reported from FY26 annual reports, RBI and SEBI rules, the Companies Act, the Income-tax Act, 2025, and startup founder pay as reported from regulatory filings. We did not use pay surveys published by recruitment or executive search firms. Figures are quoted as published.
